Steps to be taken to get a new company incorporated:

Documents Required for Private limited company Registration.

If the company’s Directors and shareholders are Indians then these are 9 Documents Required for Private limited company registration.

Scanned copies of:

  1. PAN.
  2. Address Proof .
  3. Residential Proof.
  4. Documents for Office address Registration.
  5. Passport size photograph.
  6. Specimen Signature Card.
  7. Dir – 2.
  8. Board Resolution.
  9. Form INC – 9

Note 1: Any one of the directors should self-attest the first three documents.

Note 2: In case the company’s Directors and shareholders are Non-Resident Indian ( NRI ) 
a) All the documents should be notarized (if NRI is currently in India or a Commonwealth country). 
b) All the documents should be notarized and apostille or attested by the Indian embassy (if in a Non-Commonwealth Country).

1) PAN Card 

The proposed Director of the Company should submit a PAN Card copy for company registration. The Department of Income Tax in India issues a unique identification number in the form of a PAN (Permanent Account Number). The Ministry of Corporate Affairs uses the Director’s name on the PAN Card for all the matters related to the Company. Thus, the Director must ensure that his/her name in the PAN Card does not contain any mistake. In case of name change after marriage or other reasons, the Director must change the PAN Card.

2) Address Proof

The proposed Director of the Company should submit an address proof. It should have the Director’s most current address and his/her name, as mentioned in the PAN card. Ensure that the document is not older than 2 months. Indian Nationals can use the following documents as address proof:

  1. Voter Identity Card/Election Card
  2. Ration Card
  3. Aadhaar Card
  4. Passport
  5. Driving license
  6. Telephone Bill
  7. Electricity Bill

3) Residential Proof : 

For incorporating his/her Company, the Director must submit a residential proof along with the address proof. The residential evidence is necessary for validating the Director’s current address. It should have the Director’s name as mentioned in the PAN card, and it should not be older than 3 months.

 The Director can submit the following documents as residential proof:

  1. Electricity Bill
  2. Bank Statement
  3. Mobile Bill
  4. Telephone Bill

4) Documents For Office Address Registration

The following are the documents required for a company’s office address registration of its rented property:

  1. Scanned copy of rent agreement or lease deed
  2. Scanned copy of electricity bill
  3. Scanned copy of NOC (No Objection Certificate) from the landlord
  4. Scanned copy of Aadhaar Card and PAN Card of the landlord

 The following are the documents required for a company’s office address registration of its property:

  1. Scanned copy of property papers;
  2. Scanned copy of any utility bill
  3. Scanned copy of NOC (No Objection Certificate)
  4. Scanned copy of Property Deed of Sale Deed

5) Passport Size Photo of all the directors

6) Specimen signature Card: 

A specimen signature is a document (often authenticated by a notary public or a lawyer) with a sample signature handwritten by the employers of the establishment at the time of registration of the establishment with the Employees’ PF Organization

7) Dir 2

Form DIR2 is the consent to act as a director of the proposed company. It contains details of DIN/ PAN, Name, Address, Contact Details, Occupation Details of each director of a company.

8) Board Resolution:

board resolution is a legally binding action or decision taken by directors at a board meeting. These minutes ensure that the company has a written account of the proceedings of the meeting, including the discussions held and any resolutions, proposed, rejected, or passed.

9) Form INC 9

Declaration by the first subscriber(s) and director(s) regarding No Conviction or Offence Registered under Companies Act, 2013.
